In India, there are three main legal structures for NGOs (Non-Governmental Organizations):

  1. Trust:

    • Formation: Relatively simpler process compared to societies and companies. Established through a Trust Deed, which outlines the objectives, management structure, and mode of operation.
    • Management: Governed by a Board of Trustees who are responsible for the Trust’s affairs.
    • Suitability: Suitable for smaller NGOs with well-defined objectives and limited fundraising needs.
  2. Society:

    • Formation: Requires registration under the Societies Registration Act, 1860. Involves submitting a Memorandum of Association (MOA) and bylaws outlining the organization’s goals, management structure, and functioning.
    • Management: Managed by a Governing Body or Managing Committee elected by the members of the Society.
    • Suitability: Good option for NGOs with a broader membership base and more complex activities.
  3. Section 8 Company:

    • Formation: Registered under the Companies Act, 2013, under Section 8 dealing with companies for charitable and social purposes. Requires a more elaborate process compared to trusts and societies.
    • Management: Governed by a Board of Directors with clearly defined roles and responsibilities.
    • Suitability: Ideal for larger NGOs with significant fundraising needs and aiming for a more structured governance framework.

Here’s a table summarizing the key points:
